Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by RankForge Digital ("Company", "we", "us", or "our") and constitute a legally binding agreement between you and RankForge Digital. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Service Description

RankForge Digital provides Google Business Profile (GBP) optimization services designed to improve your online visibility and local search rankings. Our services include, but are not limited to:

• GBP Optimization: Strategic optimization of your Google Business Profile to enhance visibility and user engagement
• Review Generation Support: Guidance and strategies for generating authentic customer reviews
• Ongoing Management: Continuous monitoring, optimization, and management of your GBP presence
• Performance Reporting: Regular analytics and reporting on GBP performance metrics

Our service delivery timeline typically ranges from 4-6 weeks for initial results, depending on various factors including your industry, current GBP status, and market conditions.

2. Free Audit Terms

RankForge Digital offers a complimentary GBP audit to prospective clients. This audit:

• Is provided at no cost and creates no obligation to purchase additional services
• Is for informational purposes to assess your current GBP status
• Provides recommendations based on our professional analysis
• Does not guarantee specific results or rankings

By accepting a free audit, you acknowledge that this evaluation does not constitute a binding agreement to proceed with our paid services.

3. Payment Terms

• Invoices are typically issued upon commencement of services unless otherwise agreed
• Payment is due within the timeframe specified in your Service Agreement
• Late payments may result in service suspension
• All prices are exclusive of applicable taxes unless stated otherwise
• Refund policies will be specified in your individual Service Agreement

4. Client Responsibilities

To ensure successful service delivery, you agree to:

• Provide GBP Access: Grant RankForge Digital appropriate administrative access to your Google Business Profile
• Timely Responses: Respond promptly to requests for information, approvals, or feedback (typically within 48 hours)
• Accurate Information: Provide accurate and complete business information for optimization
• Content Approval: Review and approve content, posts, and responses before publication when applicable
• Compliance: Ensure compliance with all applicable laws and Google's policies regarding your GBP
• Communication: Maintain open communication channels with our team throughout the engagement

Failure to fulfill these responsibilities may impact service delivery timelines and results.

5. Service Delivery & Timeline

• Initial optimization typically takes 4-6 weeks to show measurable results
• Results depend on multiple factors including market competition, seasonality, and algorithm updates
• We will provide regular progress reports as specified in your Service Agreement
• Ongoing optimization continues beyond the initial period for sustained performance

6. Results Guarantee

This Results Guarantee is the sole and exclusive remedy for failure to achieve measurable ranking improvement as defined below, notwithstanding Section 7 (Limitation of Liability). RankForge Digital guarantees measurable ranking improvement within 60 days of your first full paid month of service. "Measurable ranking improvement" means an upward movement of at least 2 positions on at least 3 of your primary target keywords in Google Maps local-pack results, measured against the baseline captured in your first monthly ranking report.

This guarantee is conditional on timely client cooperation. You must: (a) grant RankForge Digital administrative access to your Google Business Profile within 5 business days of signing; (b) approve proposed Google Posts within 7 days of each request; and (c) provide a minimum of 10 business photos within 30 days of signing. Failure to meet any of these timelines extends the 60-day measurement window by the length of the delay, or at our discretion voids the guarantee for that billing cycle.

If, despite your timely cooperation under the conditions above, we fail to deliver measurable ranking improvement within 60 days, your third month of service will be credited in full. The credit is applied as a waived monthly fee — it is not a cash refund, and we do not retroactively refund fees paid for months 1 or 2.

Confirmed Google Maps algorithm updates during the measurement window will be disclosed to you in writing and may extend the window by up to 30 additional days, but do not by themselves void the guarantee. Manual penalties, account suspensions, or GBP policy violations outside our control may void the guarantee; in such cases we will document the cause in writing.

7. Limitation of Liability

• Google Business Profile rankings depend on numerous factors including user behavior, location, search intent, and algorithm updates
• Results are not guaranteed and may vary based on market conditions and competition
• We are not liable for losses resulting from external factors such as algorithm changes, policy violations, or market conditions
• Our maximum liability is limited to the total fees paid for services in the preceding 12 months

Except as expressly provided in Section 6 (Results Guarantee), in no event shall RankForge Digital be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to these Terms or our services, even if advised of the possibility of such damages.

8. Intellectual Property

• Your Content: You retain all rights to your business information, photos, and proprietary content
• Our Work Product: Strategies, recommendations, and optimization methodologies are owned by RankForge Digital
• License Grant: You grant us the right to use your business information for the purpose of providing our services
• Confidentiality: We will maintain the confidentiality of your sensitive business information

9. Termination

• By Client: You may terminate services with written notice as specified in your Service Agreement, which may include a notice period
• By RankForge Digital: We may terminate services for non-payment, breach of terms, or violation of Google's policies
• Upon Termination: We will provide reasonable transition assistance and return your GBP access
• Outstanding Fees: Any outstanding fees are due upon termination

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RankForge Digital operates, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts in that jurisdiction for any disputes arising from these Terms or our services.

11. Dispute Resolution

• Good Faith Negotiation: In the event of a dispute, both parties agree to attempt resolution through good faith negotiation
• Escalation: If negotiation fails, disputes may be escalated to mediation or binding arbitration as specified in your Service Agreement
• Cost Allocation: Each party shall bear its own costs unless otherwise determined by a court or arbitrator

12. Modifications to Terms

RankForge Digital reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services following notification of changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically to ensure awareness of any changes.

13. Compliance with Google Policies

You agree that your GBP and all associated content will comply with Google's Business Profile policies and guidelines. Violations may result in suspension or termination of your GBP. RankForge Digital is not responsible for account penalties resulting from policy violations.

14. Limitation of Services

• RankForge Digital does not guarantee removal of negative reviews
• We do not engage in artificial review generation or manipulation of ratings
• All optimization strategies comply with Google's terms and industry best practices
• Services may be limited or restricted based on your industry or business type

16. Entire Agreement

These Terms, together with any Service Agreement and other documents incorporated by reference, constitute the entire agreement between you and RankForge Digital regarding our services and supersede all prior negotiations, representations, and agreements, whether written or oral.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall continue in full force and effect.
